1. Acceptance of Terms
By accessing or using Global Ship Broker ("the Platform", "we", "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use the Platform.
2. Platform Description
Global Ship Broker is a private maritime workflow automation platform for brokers, ship owners, operators, cargo teams and maritime companies. The Platform provides tools for circular email parsing, private workspace staging, protected discovery, cargo-vessel matching, AIS context, structured offers, messaging, compliance review, settlement tracking and Deal Room records. AIS, compliance and payment features depend on configured third-party providers and may be limited in some environments.
3. User Eligibility and Registration
To use the Platform, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Complete any requested KYC (Know Your Customer) review before higher-risk workflows
- Not be prohibited from using the Platform under applicable law
4. KYC Verification
Certain higher-risk activities on the Platform may require KYC review. You agree to provide truthful documentation and understand that fraudulent KYC submissions may result in account suspension, listing removal, or referral where legally required.
5. Listing Accuracy
Users who post vessel sale listings, available vessel postings, or cargo requests represent that all information provided is accurate and not misleading. Global Ship Broker reserves the right to remove any listing that it reasonably believes to be inaccurate, fraudulent, or in violation of these terms.
Circulars, emails and uploaded materials ingested into a company workspace are treated as workspace-confidential records unless the authorized user deliberately publishes a blind, semi-private or public listing. Normalized fingerprints may be used for duplicate protection, platform security and aggregate market signals, but raw source content and sensitive commercial identifiers are not intended to be exposed across tenant boundaries.
6. Subscription and Fees
Global Ship Broker is intended to be sold primarily as subscription workflow software, with pricing set by seat, workspace, pilot agreement, or enterprise contract. Unless a separate written agreement says otherwise:
- Subscription charges cover access to software modules, workflow automation, support and configured integrations.
- Deal Room ledgers may calculate broker pools, address commissions and platform credits for operational visibility.
- Any platform credit, commission-share note, or enterprise fee must be documented in a separate commercial agreement.
Financial figures shown in the Platform are operational estimates unless a separate written agreement is signed by the parties. All applicable taxes are the responsibility of the respective parties.
7. Payments and Transaction Records
Accepted offers may be converted into transaction records. Where online payment functionality is configured, third-party processors including Stripe are used for software subscription billing or approved credit-ledger tracking. Freight settlement, S&P deposits and closing payments remain via configured bank wire, L/C, partner escrow, SWIFT reference tracking, or party-approved rails. Global Ship Broker does not act as a regulated escrow agent, broker-dealer, bank, or financial intermediary. By initiating a payment, you agree to the terms of the applicable payment rail or provider. Commercial disputes remain the responsibility of the parties, with platform support available for account, record, and moderation issues.
8. Prohibited Activities
You may not use the Platform to:
- Post false, misleading, or fraudulent listings
- Misuse protected access workflows to circumvent confidentiality, NDNC-style obligations, or workspace data controls
- Harass, threaten, or abuse other users
- Violate any applicable sanctions, export controls, or anti-money laundering regulations
- Scrape, reverse engineer, or otherwise extract data from the Platform without written consent
- Attempt to gain unauthorized access to any portion of the Platform
9. Intellectual Property
All content, trademarks, logos, and software on the Platform are the property of Global Ship Broker or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose.
10. Limitation of Liability
Global Ship Broker is a workflow platform and is not a party to any vessel sale, charter, or cargo transaction between users. We do not warrant the accuracy of listings, the creditworthiness of parties, or the seaworthiness of any vessel. To the maximum extent permitted by law, Global Ship Broker's liability is limited to the subscription or platform fees received under the applicable agreement.
11. Termination
We reserve the right to suspend or terminate any account that violates these terms or that we reasonably believe poses a risk to the Platform or its users. You may close your account at any time by contacting support.
12. Governing Law
These Terms of Service should be reviewed with counsel before production launch. Any binding governing-law, venue, arbitration, or dispute-resolution clause must be set in the final commercial agreement for the operating company and jurisdiction.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the Platform. Continued use of the Platform after such changes constitutes acceptance of the revised terms.
